CONTRACTUAL TERMS OF ENGAGEMENT
Terms of Engagement
These Terms of Engagement govern the professional relationship between LB FRAME SASU (the Studio) and its clients. They apply to all engagements unless superseded by a separately executed master services agreement.
Scope and Nature of Engagement
LB FRAME provides systems architecture, software engineering, and strategic design services, including but not limited to technical auditing, software development, scalable system design, and advisory. Each engagement is defined by a written proposal accepted by the Client.
Proposals and Acceptance
All engagements begin with a written proposal detailing scope, deliverables, timeline, and fees. A proposal is accepted upon written confirmation (email or signed document) from the client. Commencement of work may also constitute acceptance.
Fees, Invoicing, and Payment
Fees are stated in the proposal and are exclusive of applicable taxes. Invoices are due within 30 calendar days of issuance. Late payments accrue interest at the statutory rate in force in France. The Studio reserves the right to suspend work on overdue accounts.
Confidentiality
Both parties agree to treat as confidential all non-public information received during the engagement. This obligation survives termination of the engagement for a period of three years.
Intellectual Property
Upon receipt of full payment, the Studio assigns to the client the agreed deliverables as specified in the proposal. The Studio retains ownership of all preliminary concepts, rejected directions, tools, and methodologies developed during the engagement. Portfolio and case study rights are retained by the Studio unless expressly excluded in writing.
Client Obligations
The client agrees to provide timely feedback, materials, and approvals as required. Delays attributable to the client may affect timelines and may result in revised fees. The client warrants that all materials provided to the Studio do not infringe third-party rights.
Termination
Either party may terminate an engagement with 14 days written notice. Upon termination, the client shall pay for all work completed to date. The Studio shall deliver all completed work for which payment has been received.
Limitation of Liability
The Studio's total liability for any claim arising from an engagement shall not exceed the total fees paid for that engagement in the preceding 12 months. Neither party shall be liable for indirect, consequential, or punitive damages.
Governing Law and Dispute Resolution
These terms are governed by French law. Any dispute arising from or related to these terms shall be subject to the exclusive jurisdiction of the courts of Aix-en-Provence, France. The parties agree to attempt good-faith mediation before initiating formal proceedings.
These terms were last updated on March 10, 2026. LB FRAME reserves the right to update these terms. Clients will be notified of material changes before they take effect.
